Founders Circle Terms of Service

These Terms of Service (“Terms”) govern your participation in the Founders Circle offer (“Founders Circle”) provided by Independent Educator Pro (“we,” “our,” “us”). By joining the Founders Circle, you agree to these Terms in full.

If you do not agree to these Terms, you may not participate in the Founders Circle.

1. Overview of the Founders Circle

The Founders Circle is a limited, early-adopter offer for a maximum of 25 participants. Members receive:

Lifetime discounted subscription pricing on the Independent Educator Pro platform.

Early access to platform features and updates.

Direct input on roadmap priorities.

Discounted rates for future marketing and advertising services (sold separately).

2. Eligibility

You must:

Be at least 18 years old.

Be an educator, organization, or business intending to use the platform to run online or hybrid classes.

Complete the Founders Circle intake form in full.

Make the initial payment to secure your seat.

We reserve the right to reject any application at our sole discretion.

3. Payments and Billing

Your initial Founders Circle payment secures your seat and covers your first month of subscription.

Recurring monthly billing will begin when we start onboarding your account and building your site.

Payments are processed securely through Stripe. We do not store full payment information on our servers.

Subscription fees are non-refundable except as stated in Section 6.

Founders Circle lifetime pricing is valid only while your subscription remains active and uninterrupted. Cancelling your subscription forfeits your Founders Circle rate, and reactivation will be subject to then-current retail pricing.

4. Onboarding and Deliverables

Onboarding occurs in two waves to ensure personalized setup. Wave 1 begins shortly after reservation; Wave 2 begins approximately 30 days later.

Deliverables include:

Your own white-label site hosted on our platform.

Core platform features (recurring billing, seat caps, rosters, reminders, meeting link integration).

Access to Founders Circle communication channels for roadmap feedback.

Onboarding requires your active participation in providing branding assets, Stripe account setup, and other requested information. Delays in providing required materials may delay delivery.

5. Marketing and Advertising Services

Marketing and advertising services are not included in the Founders Circle subscription.

These services are available as optional add-ons with separate fees.

Founders Circle members receive discounted rates on marketing and advertising services when purchased.

6. Refunds and Cancellations

Your initial Founders Circle payment is refundable only if you request cancellation before onboarding begins.

Once onboarding starts, all fees paid are non-refundable.

You may cancel your subscription at any time, effective at the end of your current billing period.

If you cancel and later wish to rejoin, you will be subject to standard retail pricing and will not be eligible for the Founders Circle rate.

7. Your Responsibilities

By joining the Founders Circle, you agree to:

Use the platform for lawful purposes only.

Maintain the confidentiality of your account login credentials.

Provide accurate and current information during onboarding and throughout your subscription.

Comply with all applicable laws and regulations in your region.

8. Our Rights

We reserve the right to:

Modify or discontinue features with reasonable notice to members.

Suspend or terminate your access to the platform for violations of these Terms.

Update these Terms as necessary, with notice provided via email or inside the Founders Circle member area.

9. Limitation of Liability

To the maximum extent permitted by law, Independent Educator Pro shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to your participation in the Founders Circle, including but not limited to loss of revenue, profits, or data.

Our total liability for any claim shall not exceed the total amount paid by you to participate in the Founders Circle in the twelve (12) months preceding the event giving rise to the claim.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
